Terms ofService.

These Terms of Service (“Terms”) cover your use of stackovation.com, the Stackovation client portal, and the software development services provided by Stackovation Private Limited, a private limited company incorporated in India (CIN U62011TZ2026PTC040804), with its registered office at #13, R.S. Towers, Balasubrayalu Street, Near Aanoor Theatre, Erode – 638 001, Tamil Nadu, India (“Stackovation”, “we”, “us”). By using the site or portal, or accepting a proposal from us, you agree to these Terms.

If you accept these Terms for a company, you confirm you have authority to bind it. You must be at least 18 years old to use our services.

We design and build custom web apps, mobile apps, software and interfaces. The scope, deliverables, timeline and price of each project are set out in a written proposal or statement of work (the “Proposal”). If a Proposal conflicts with these Terms, the Proposal applies to that project.

• Keep your login details private. You are responsible for activity under your account.
• Give accurate information in your project brief and keep it up to date.
• Do not upload unlawful content, malware, or material you do not have the rights to.
• Do not try to access other clients’ data or interfere with the portal’s security.

We may suspend accounts that break these rules.

Projects follow our four-phase process: Discovery, Development, Testing and Launch.

• Scope changes — requests outside the agreed scope are welcome but may change the price and timeline. We confirm any change in writing before starting it.
• Your input — timelines assume timely feedback, content and access from you. Delays on your side may move delivery dates.
• Previews — live preview links are for review only. They may be unavailable at times and are not production environments.
• Acceptance — after each delivery you have the acceptance period in your Proposal (7 days if none is stated) to report defects. Work is accepted when you approve it or when that period passes without a reported defect.

• Fees and currency are set in your Proposal. Unless it says otherwise, payment is 50% upfront, 30% when the development milestone is approved, and 20% on final approval before handover.
• Invoices are due on receipt unless your Proposal gives a different date.
• Prices exclude taxes. Applicable taxes, such as Indian GST, are added where required.
• Fees charged by your bank or payment provider, including currency conversion, are your responsibility.
• If a payment is late, we may pause work until it is paid, and the delivery date may move.
• Instalment plans are available only when agreed in writing in your Proposal.
• The upfront payment reserves team time and covers discovery and setup, so it is non-refundable once work has started, unless your Proposal says otherwise or the law requires a refund.

• When your project is paid in full, you own the custom code, designs and other deliverables we create specifically for you.
• Until then, you may use the deliverables for review and testing only.
• We keep ownership of our pre-existing tools, libraries, templates and know-how. Where they are part of your deliverables, you get a permanent, royalty-free licence to use them as part of your product.
• Open-source components stay under their own licences.
• You confirm that content, logos and materials you give us are yours or licensed to you, and you let us use them to deliver your project.
• We only name you as a client or show your project in our portfolio with your written permission.

Each of us will keep the other’s confidential information private and use it only for the project. This does not apply to information that is public, already known, independently developed, or that the law requires us to disclose. We are happy to sign a separate NDA.

Your product may rely on third-party services such as hosting, app stores, payment providers or APIs. Their own terms and fees apply, usually to accounts in your name, and we are not responsible for their availability or changes.

We fix defects in our work — where the product does not work as agreed in the Proposal — that are reported during the support period in your plan (for example, 1 month for landing pages and 3 months for custom web apps). This does not cover changes made by you or others, new features, or problems caused by third-party services. Ongoing maintenance and new work can be agreed separately.

Apart from this, the site, portal and services are provided “as is”, and we do not promise they will always be available or free of errors.

As far as the law allows, neither of us is liable for indirect or consequential losses, such as lost profits, revenue or data. Our total liability for any claim relating to a project is limited to the fees you paid us for that project in the 12 months before the claim. Nothing in these Terms limits liability that the law does not allow to be limited, such as for fraud.

You agree to cover our reasonable costs if a third party claims that materials you gave us infringe their rights, or if the deliverables are used unlawfully.

• Either of us may end a project with 14 days’ written notice.
• Either of us may end it immediately if the other seriously breaches these Terms and does not fix it within 14 days of being told.
• If a project ends early, you pay for the work completed up to that date, and we hand over that work once it is paid.
• Ownership, confidentiality, liability and governing law continue to apply after a project ends.

These Terms are governed by the laws of India. We will first try to resolve any dispute through good-faith discussion for 30 days. If that does not work, the courts having jurisdiction over our registered office in India have exclusive jurisdiction.

We may update these Terms from time to time. The version in force when you accept a Proposal applies to that project. Changes to how the site and portal may be used take effect when posted here.
