01About these terms
These Partner Program Terms (“Partner Terms”) are an agreement between you and Stackovation Private Limited, a private limited company incorporated in India (CIN U62011TZ2026PTC040804), with its registered office at #13, R.S. Towers, Balasubrayalu Street, Near Aanoor Theatre, Erode – 638 001, Tamil Nadu, India (“Stackovation”, “we”, “us”). They apply when you join the partner waiting list, and while you are a partner. You accept them by ticking the box when you join. Our Terms of Service and Privacy Policy also apply.
If you join for a company, you confirm you have authority to accept these Partner Terms for it. You must be at least 18 years old.
02Joining and verification
- Joining the waiting list is free. You get a reference number, shown in your portal and sent by email.
- We contact you, usually by phone, to get to know you. We may check your LinkedIn, website or company details (such as GST or company registration).
- We decide who joins the program. We may decline a request without giving a reason, and joining the waiting list does not guarantee approval.
- Once approved, we agree your client discount and commission rate with you, and they are shown in your partner dashboard.
- The information you give us must be true and kept up to date.
03Your code and link
- Your code and link are personal to you. Do not sell them, or post them on coupon, voucher or deal websites.
- A code may have a start and end date. Your dashboard always shows them.
- We may change, pause or end a code. Referrals already made keep their agreed rates.
04Which referrals count
A referral counts when all of these are true:
- The client enters your code, or uses your link, when they send their project request — not after we have sent them a proposal.
- The client is new to us: not an existing client, and not someone already talking to us about a project in the 6 months before. If that is the case, we tell you within 7 days.
- The project is not for you, your own business, or a business you own or control.
- The project goes ahead under a proposal or agreement the client signs with us.
If two partners claim the same client, the code entered with the request counts.
05Your client’s discount
Clients who use your code get the discount agreed with you, applied to the project price in their proposal. It cannot be exchanged for cash, and it cannot be combined with other offers unless we say so in writing.
06How commission works
- Commission is your agreed percentage of the final project price, after the client’s discount.
- It does not include taxes (such as GST), or third-party costs we pass on to the client at cost, such as hosting, domains and paid licences.
- You earn commission only on money we have actually received from the client, and only once it has cleared in our account. Each payment the client makes earns its share. No commission is due on unpaid or partly paid invoices until that money reaches us.
- If the scope or price changes, commission follows the amounts the client actually pays.
- If a project is cancelled, you keep the commission earned on what the client already paid us.
- If we refund money to a client, the commission on the refunded amount is taken back from your next payouts. If there are no further payouts within 60 days, you agree to repay it.
- Your dashboard shows, for every referral, the commission on the whole project and how much of it has been earned so far.
07Partner levels
| Level | When you reach it | Commission on new referrals |
|---|---|---|
| Partner | When you join | Your agreed rate |
| Silver | 3 paying clients | At least 12% |
| Gold | 10 paying clients | At least 15% |
- A paying client is a client you referred who has made at least one payment to us.
- If your agreed rate is already higher than a level’s rate, your rate stays.
- A new rate applies to referrals made after we raise it. Projects already referred keep the rate they came in with.
- Once raised, your rate stays while you are a partner — unless the payments that earned the level are refunded or a referral turns out to be fraudulent.
08Payouts
- We pay once a month, by the 15th, for commission earned on client payments we received in the previous calendar month.
- Before your first payout, add your payout details in your portal: your full name, PAN (for partners in India), a photo or PDF of your PAN card, and your UPI ID or bank account in your own name. Partners outside India can be paid by PayPal or Wise.
- We check your details before paying. Payouts can wait until they are verified, and the money stays owed to you.
- We pay in Indian rupees in India. For PayPal or Wise, any transfer or currency fees charged by them are taken from the payout.
- Every payout is listed in your dashboard with its date and amount.
09Tax
- Commission is your income, and you are responsible for your own taxes.
- Where Indian law requires (for example TDS on commission under section 194H of the Income Tax Act), we deduct tax at source and give you the certificate. Without a valid PAN, the law may require a higher deduction.
- If you are registered for GST, add your GST number in your payout details and send us a GST invoice for each payout.
10How you may promote us
Promote Stackovation honestly. You must not:
- Send spam or bulk unsolicited messages, or buy contact lists.
- Make promises about prices, timelines, features or results that we have not made in writing.
- Say or suggest that you are our employee, director or agent, or that you can sign for us.
- Bid on “Stackovation” or similar words in search ads, or create websites, pages or accounts that look like ours.
- Post fake reviews, or use misleading claims.
- Use our name and logo in any way other than as we provide them.
11Your clients and their information
- Clients you refer sign their agreement with us, and their project is between them and us. We may decline any project.
- You see each referral’s project name, stage and your commission. Their documents, messages and payments stay private between them and us.
- Keep confidential any information about our clients or business that you learn as a partner.
12Your personal data
We use your details, PAN and payout details only to run the program, pay you and keep tax records. Only our team can see them. Payout records are kept for as long as Indian tax law requires. Our Privacy Policy explains your rights. Please do not upload Aadhaar — PAN is enough.
13Our relationship
You are an independent partner, not our employee, agent or representative. Nothing in these Partner Terms creates a partnership, joint venture or employment. You cannot make commitments for us.
14Leaving or ending the program
- You can leave at any time by telling us in writing.
- We can end your place in the program with 15 days’ notice, or straight away if you break these Partner Terms, act dishonestly or harm our reputation.
- After it ends, your code stops working. For clients you referred before the end date, you keep earning commission on payments we receive for that same project — unless we ended it because you broke these Partner Terms.
- If a referral turns out to be fraudulent or breaks these Partner Terms, no commission is due on it, and we may recover commission already paid on it.
15Limitation of liability
To the extent the law allows, our total liability to you under these Partner Terms is limited to the commission that is earned and owed to you. We are not liable for indirect losses, such as lost profits or business.
16Changes to these terms
We may update these Partner Terms. We tell you at least 15 days before a change that affects how commission is earned or paid. Changes never reduce commission you have already earned. If you keep sharing your code after a change takes effect, the new version applies.
17Governing law and disputes
These Partner Terms are governed by the laws of India. We will first try to settle any disagreement by talking. If that does not work, the courts having jurisdiction over our registered office in India have exclusive jurisdiction.
